Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LookVay platform and its products, including FeedVay, operated by DigitalVisionAir S.r.l. ("LookVay", "we", "us"). By creating an account or using the service, you agree to these Terms.

1. Accounts

You must be at least 18 years old and provide accurate registration information. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

2. The service

LookVay provides a suite of AI-powered products for visual commerce and content. Features, products, and limits may change over time. We may add, modify, or discontinue features, and we aim to give reasonable notice of material changes that affect you.

3. Connected social accounts

FeedVay allows you to optionally connect social media accounts (such as Instagram, Facebook, YouTube, TikTok, and LinkedIn) so that content you approve can be published on your behalf. By connecting an account, you confirm that you are authorized to publish to it and that you will comply with that platform's own terms and policies. You can disconnect any account at any time. We publish only content you have approved through the FeedVay approval flow.

4. Your content

You retain ownership of the content and inputs you provide ("Your Content"). You grant us a limited license to process, store, and transmit Your Content solely to operate the service and to publish content to platforms you have connected at your direction. You are responsible for ensuring you have the rights to any content you upload, including photographs of people.

5. Acceptable use

You agree not to use the service to:

• Violate any law or third-party rights, including intellectual property and privacy rights.
• Generate or publish content that is unlawful, deceptive, hateful, harassing, or sexually exploitative, or that impersonates others without authorization.
• Upload images of individuals without their consent, or create misleading synthetic media of real people.
• Bypass platform limits, security controls, or rate limits, or interfere with the service's operation.
• Violate the terms or policies of any connected social media platform.

6. AI-generated content

The service uses third-party AI models to generate text, images, and video based on your inputs. AI output can be inaccurate or unexpected. You are responsible for reviewing content before it is published, which is why social publishing requires your explicit approval. You are responsible for the content you choose to publish.

7. Plans & billing

Paid plans and token-based usage are billed as described at sign-up. Fees are charged in advance for the chosen billing period and, except where required by law, are non-refundable. You can cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with reasonable advance notice.

8. Intellectual property

The LookVay platform, its software, design, and trademarks are owned by DigitalVisionAir S.r.l. and protected by law. These Terms do not grant you any right to our trademarks or to copy or reverse-engineer the platform, except as permitted by law.

9. Third-party platforms

The service integrates with third-party platforms via their APIs. Your use of those platforms is governed by their own terms. We are not responsible for changes those platforms make to their APIs, policies, or availability, which may affect FeedVay features such as publishing.

10. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that AI output will meet your expectations.

11. Limitation of liability

To the maximum extent permitted by law, DigitalVisionAir S.r.l. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the service will not exceed the amount you paid us in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

12. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate access if you breach these Terms or use the service in a way that risks harm to others, the platform, or connected third-party platforms. On termination, your right to use the service ends and we will handle your data as described in the Privacy Policy.

13. Governing law

These Terms are governed by the laws of Italy, without regard to conflict-of-laws principles. The courts of Rome, Italy will have jurisdiction, subject to any mandatory consumer protections in your country of residence.

14. Changes

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
